Rho Invoicing Terms and Conditions

These terms and conditions (the “Terms”) govern the user (“you”) of Rho Invoicing (the “Service”). In the event of a conflict between these Terms and any other agreements you entered into with Under Technologies, Inc. (dba Rho Technologies) (“Rho”) with respect to the Service (the “Rho Agreements”), these Terms control. By accessing or using the Service, you agree to these Terms on behalf of yourself and the business entity you represent, and you represent that you are authorized to do so. You may also be required to agree to the terms and conditions of third parties, and third parties may need to approve you for certain functionalities provided by such third parties.

1. Eligibility and Approval

Access to the Service, and to any individual feature of the Service, is subject to eligibility criteria and approval by Rho and, where applicable, its partners. To create, send, or manage invoices through the Service, you must have an active Rho Account that is in good standing. Your invoice payers do not need a Rho Account to pay an invoice. Rho may condition, limit, suspend, or terminate access to the Service or any feature at any time, including where required by law, by a partner bank or processor, or by applicable risk, compliance, or underwriting requirements. Approval is not guaranteed, and eligibility for one feature does not confer eligibility for another.

2. Invoices and Your Content

You are solely responsible for the content, accuracy, and legality of every invoice you create, send, or manage through the Service, including amounts, payment terms, tax treatment, descriptions of goods or services, branding, and payer contact information. You are responsible for the underlying commercial relationship with your customer. Rho is not a party to any transaction between you and your invoice payers, does not verify the validity of any invoice, and has no obligation to collect, enforce, dispute, or resolve any invoice, chargeback, refund, or customer dispute on your behalf.

You represent that you have the right to use any logo, mark, or other content you upload to the Service, and that your use of the Service complies with applicable law, including laws governing invoicing, billing, tax, sanctions, anti-money laundering, and consumer protection.

3. Payment

The Service may support payment of invoices by ACH transfer, wire transfer, check, and card, depending on your configuration and eligibility. Availability of any payment method is subject to change by Rho at any time. Payments are settled to the Rho checking account you designate. Settlement and availability timing depends on the payment method, the payer’s financial institution, network operating rules, and applicable cut-off times, and is outside of Rho’s control. Rho does not guarantee that any payment will be initiated, authorized, completed, or settled, or that any payment will be automatically matched to a particular invoice.

You are responsible for reviewing and confirming the accuracy of payment matching, reconciliation, and reporting output generated by the Service before relying on it.

4. Card Payment

Card payment features on Rho Invoicing (including credit card, debit card, and Google Pay options) are powered by Stripe, Inc. Card processing is available to eligible Rho Invoicing customers for USD-denominated invoices only and is subject to a default processing limit of $10,000 USD per day.

Standard card processing fees are 2.9% + $0.30 per transaction. Access to and enablement of card payment functionality requires completion of Stripe’s verification process and is subject to third-party underwriting and approval, which is not guaranteed. By enabling or using this feature, you agree to comply with and be bound by the Stripe Connected Account Agreement (available at https://stripe.com/legal/connect-account) and the Stripe Privacy Policy (available at https://stripe.com/privacy), as well as applicable card network and payment card industry rules.

Rho acts solely as a technology provider enabling the integration and is not a payment processor or bank. Rho is not responsible for third-party verification outcomes, approval decisions, transaction declines, chargebacks, reserves, holds, service interruptions, or your or your customers’ use of third-party payment processing services.

5. Third-Party Services and Integrations

The Service may interoperate with, or permit you to connect, third-party services, including payment processors, accounting and bookkeeping software, and other applications. Your use of any third-party service is governed by that third party’s own terms and privacy policy, and you may be required to accept those terms and to obtain that third party’s approval before using the associated feature. Certain features and connections require approval or verification by the third party, which is not guaranteed and may be revoked at any time.

Rho does not control third-party services and makes no representation or warranty regarding their availability, accuracy, security, or performance. Rho is not responsible for any act or omission of a third party, for any data transmitted to or from a third-party service at your direction, or for any change to, degradation of, or discontinuation of a third-party service or integration.

6. Fees

Rho Invoicing is included with your Rho Account at no additional subscription or per-invoice fee, and Rho does not charge a fee for domestic ACH, wire, or check payments received through the Service. Card payments are subject to the processing fees described in Section 4. Third parties, including payment processors, card networks, and the payer’s or your financial institution, may assess their own fees, which are not imposed or controlled by Rho. Fees and included features are subject to change on notice as permitted by the Rho Agreements and applicable law.

7. Your Responsibilities and Acceptable Use

You are responsible for maintaining the security of your Rho credentials and for all activity conducted through your account. You agree not to use the Service to invoice for, facilitate, or process any transaction that is unlawful, fraudulent, deceptive, or prohibited by the Rho Agreements, by applicable law, or by the rules of any payment network or processor. Rho may investigate suspected misuse and may suspend or terminate access to the Service in connection with any such investigation.

8. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or uninterrupted or error-free operation. Rho does not warrant that the Service will meet your requirements, that it will be available at any particular time, or that any data, calculation, matching, or report produced by the Service will be accurate or complete.

Rho is not responsible for your use of the Service or for any decision you make in reliance on it. The Service and any materials provided in connection with it are for informational and operational purposes only and do not constitute legal, tax, accounting, or financial advice. You are solely responsible for determining the tax treatment of your invoices and payments, for issuing any required tax documentation, and for maintaining records required by law. You should consult your own advisors.

9. Limitation of Liability and Indemnity

To the maximum extent permitted by law, Rho and its affiliates, partners, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost business, or loss of data, arising out of or relating to the Service, regardless of the theory of liability and even if advised of the possibility of such damages. Rho’s aggregate liability arising out of or relating to the Service is limited as set forth in the Rho Agreements.

You agree to indemnify and hold harmless Rho and its affiliates, partners, and service providers from any claim, loss, liability, or expense arising out of your invoices, your underlying transactions with your customers, your breach of these Terms or of any third-party terms, or your violation of applicable law.

10. Modification, Suspension, and Termination

Rho may modify, suspend, or discontinue the Service or any feature, and may amend these Terms, at any time for any reason. Your continued use of the Service after a change takes effect constitutes acceptance of the amended terms.

11. Disclosures

Rho is a financial technology company, not a bank or an FDIC-insured depository institution. Checking account and card services are provided by Webster Bank, a division of Santander Bank, N.A., Member FDIC.
